Subscription Terms

1. Introduction

These Subscription Terms ("Terms") govern the purchase, activation, renewal, cancellation, and use of paid subscriptions ("Subscriptions") for Amavit Abacus, including its website, mobile applications, web application, and related services (collectively, the "Platform").

These Terms form an integral part of the Terms of Use. In the event of any conflict, the Terms of Use shall prevail unless expressly stated otherwise.

2. Subscription

The Platform may offer one or more paid Subscription plans that provide access to Premium features, additional educational content, digital materials, and other functionality.

A Subscription grants the User a limited, non-exclusive, non-transferable, and revocable license to access eligible Premium features during the applicable subscription period.

A Subscription does not transfer ownership of the Platform or any intellectual property rights.

Subscription features may differ depending on:

  • country or region;
  • Platform version;
  • User role;
  • selected subscription plan;
  • promotional offers;
  • availability of specific functionality.

3. Subscription Pricing

Subscription prices are determined in accordance with the applicable Pricing and Offer Terms.

The Company may offer different subscription plans, currencies, pricing, promotional offers, and Premium features depending on the User's country, region, Platform, or other eligibility criteria.

The applicable price, currency, taxes, billing period, and payment conditions are presented before the User confirms the purchase.

4. Payment

Subscriptions may be purchased through:

  • Apple App Store;
  • Google Play;
  • authorized payment service providers;
  • bank card payment systems;
  • other payment methods supported by the Platform.

The User agrees to comply with the terms and conditions of the applicable payment provider.

The Company does not store complete payment card information.

5. Automatic Renewal

Unless otherwise specified, Subscriptions may automatically renew for successive subscription periods.

The applicable payment provider will attempt to collect the subscription fee according to its own billing rules.

If payment cannot be successfully processed, Premium access may be suspended or terminated until payment is completed.

Users may disable automatic renewal:

  • through their Platform account settings, where available;
  • through the applicable app store;
  • through the payment provider, where applicable.

6. Free Trials and Promotional Offers

The Company may, at its sole discretion, offer:

  • free trial periods;
  • introductory pricing;
  • discounted subscription periods;
  • promotional access;
  • promotional Premium benefits;
  • other temporary promotional programs.

The duration, eligibility requirements, pricing, scope of access, availability, and other conditions of any promotional offer are determined by the specific offer presented to the User at the time of activation.

Unless otherwise stated, a Subscription may automatically convert into a paid Subscription after the promotional period ends unless cancelled before renewal.

The Company may modify, replace, or discontinue promotional offers at any time where permitted by applicable law.

7. Refunds

Refund requests are governed by:

  • the policies of the applicable payment provider (including Apple App Store and Google Play);
  • applicable consumer protection laws;
  • the terms of the specific promotional offer, where applicable.

The Company does not guarantee refunds unless required by applicable law.

Where permitted by law, the use of Premium features may affect eligibility for a refund.

8. Price Changes

The Company may modify:

  • Subscription prices;
  • Premium features;
  • subscription plans;
  • billing periods;
  • promotional offers.

Price changes generally apply beginning with the next subscription renewal unless otherwise required by applicable law.

Changes do not affect subscription periods that have already been paid.

9. Suspension and Restriction of Premium Access

The Company may suspend, restrict, or terminate Premium access where reasonably necessary, including in cases involving:

  • violation of the Terms of Use or other Platform policies;
  • suspected fraud or abuse;
  • security risks;
  • legal or regulatory requirements;
  • technical maintenance;
  • protection of the Platform or its Users.

Where appropriate, access may be restored after the relevant issue has been resolved.

10. Cancellation and Termination

Users may cancel their Subscription at any time.

Unless otherwise required by applicable law, cancellation takes effect at the end of the current paid subscription period.

Following expiration of the Subscription:

  • Premium features become unavailable;
  • the User's standard Account remains active unless separately deleted;
  • educational progress and Account data continue to be processed in accordance with the Privacy Policy.

11. Changes to Subscription Features

The Company continuously develops the Platform.

Accordingly, the Company may add, modify, replace, improve, or discontinue Premium features, educational content, digital materials, or Subscription plans at any time.

Such changes do not necessarily constitute a reduction in the overall value of the Subscription.

12. Governing Law

These Subscription Terms are governed by the laws of the Republic of Cyprus, without regard to conflict of law principles.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Cyprus, unless otherwise required by applicable law.
