Teacher Agreement
Effective Date: July 15, 2026
1. Introduction
This Teacher Agreement ("Agreement") governs the use of Amavit Abacus, including its website, mobile applications, web application, and related services (collectively, the "Platform"), by Users acting as Teachers.
This Agreement forms an integral part of the Terms of Use. By using the Platform as a Teacher, you agree to be bound by this Agreement.

2. Teacher Status
Teachers are independent users of the Platform.
A Teacher:
- is an independent educator;
- is not an employee, agent, representative, franchisee, partner, or contractor of the Company;
- acts independently and at their own risk;
- independently decides whether and how to provide educational services.
Use of the Platform does not create:
- an employment relationship;
- a partnership;
- an agency relationship;
- a joint venture;
- a franchise relationship.
The Company does not assign students, guarantee clients, or guarantee any level of income to Teachers.
3. Use of the Platform
Subject to the functionality available on the Platform, Teachers may:
- create and manage student groups;
- create and assign Homework;
- monitor educational progress;
- manage Child Accounts;
- access educational analytics;
- communicate with Parents through Platform functionality, where available.
Teachers agree to:
- comply with applicable laws;
- use the Platform in good faith;
- use Platform features responsibly;
- avoid misuse of the Platform.
4. Relationship with Parents and Students
Teachers independently determine:
- educational methodology;
- lesson content;
- lesson schedules;
- educational materials;
- assessment methods;
- communication with Parents.
Teachers are solely responsible for their educational activities.
Teachers are responsible for obtaining any parental consents or permissions required under applicable law before creating or managing Child Accounts.
The Company:
- does not participate in the educational process;
- does not supervise Teachers;
- does not control teaching methods;
- is not responsible for educational decisions made by Teachers.
5. Financial and Tax Responsibilities
Teachers act as independent professionals and are solely responsible for:
- receiving payments from Parents, where applicable;
- accounting and bookkeeping;
- invoices and financial records;
- payment of taxes and governmental charges;
- VAT, GST, sales tax, or similar obligations where applicable;
- obtaining any licenses, permits, registrations, or authorizations required by applicable law.
The Company:
- is not the Teacher's employer;
- is not a tax agent;
- does not withhold taxes;
- assumes no responsibility for the Teacher's tax obligations.
6. Compliance with Applicable Laws
Teachers agree to comply with all laws applicable to their educational activities.
Where required by law, Teachers are responsible for obtaining any necessary business registrations, professional licenses, or other legal authorizations.
Teachers represent that they have the legal right to provide educational services within their jurisdiction.
The Company is not responsible for verifying or ensuring such compliance.
7. Student Data and Confidentiality
Teachers receive access to Child and Parent information solely for legitimate educational purposes through the Platform.
Teachers agree to:
- use personal data only for authorized educational purposes;
- maintain the confidentiality of all personal information;
- comply with applicable privacy and data protection laws;
- not disclose personal data to unauthorized third parties;
- promptly notify the Company if they become aware of any personal data breach affecting Platform data.
Access to personal data must be limited to what is reasonably necessary for educational purposes.
8. Prohibited Activities
Teachers may not:
- use the Platform for unlawful purposes;
- violate the rights of Users;
- send spam or unauthorized marketing communications;
- misuse Platform functionality;
- copy, distribute, or commercially exploit Platform content without authorization;
- reverse engineer, decompile, or attempt to access the Platform's source code;
- use bots, automated scripts, or other automated tools without authorization;
- circumvent technical or security measures implemented by the Platform.
9. Teacher Responsibility
Teachers are solely responsible for:
- their educational activities;
- communication with Parents and Students;
- compliance with applicable laws;
- educational decisions;
- any claims arising from their conduct.
Teachers agree to indemnify and hold harmless the Company from claims, damages, liabilities, costs, or expenses arising from:
- violations of applicable law;
- infringement of third-party rights;
- unauthorized educational activities;
- misuse of the Platform.
10. Limitation of the Company's Responsibility
The Company:
- is not responsible for the actions or omissions of Teachers;
- does not guarantee educational outcomes;
- does not guarantee student enrollment;
- does not guarantee income or commercial success;
- is not a party to agreements between Teachers and Parents;
- does not verify Teachers' qualifications, licenses, certifications, or professional status unless expressly stated by the Platform.
11. Intellectual Property
The Platform, including its software, design, educational tools, trademarks, and related intellectual property, remains the exclusive property of the Company or its licensors.
Teachers retain ownership of educational materials they independently create.
Where Teachers upload content to the Platform, they grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit such content solely for the purpose of operating, maintaining, and improving the Platform.
12. Suspension and Termination
The Company may suspend, restrict, or terminate a Teacher's access to the Platform where reasonably necessary, including in cases involving:
- violations of this Agreement;
- violations of the Terms of Use;
- fraud or abuse;
- security concerns;
- legal requirements;
- protection of the Platform or its Users.
Where permitted by applicable law, such actions may be taken without prior notice.
Following termination:
- Premium access, if any, will end;
- access to Teacher functionality may be revoked;
- User data will continue to be processed in accordance with the Privacy Policy and applicable law.
13. Platform Availability
The Company continuously develops and maintains the Platform.
The Company does not guarantee uninterrupted, error-free, or continuous availability of the Platform and may temporarily suspend access for maintenance, updates, security measures, or technical reasons.
14. Changes to this Agreement
The Company may modify this Agreement from time to time.
The latest version will be published on the Platform together with its updated Effective Date.
Continued use of the Platform after changes become effective constitutes acceptance of the revised Agreement where permitted by applicable law.
15. Governing Law
This Agreement shall be governed by the laws of the Republic of Cyprus, without regard to conflict of law principles.
Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of the Republic of Cyprus, unless otherwise required by applicable law.
