Terms of Use

1. Introduction

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and VF Private Education LTD ("Company") governing your access to and use of Amavit Abacus, including its website, mobile applications, web application, and related services (collectively, the "Platform").

If you do not agree to these Terms, you must not use the Platform.

The Platform is operated by:

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of the Platform

Amavit Abacus is a digital educational platform designed to support the learning and practice of mental arithmetic.

Depending on the available functionality, the Platform may provide:

  • educational exercises;
  • Homework;
  • learning progress tracking;
  • educational statistics;
  • certificates;
  • competitions and challenges;
  • Premium features;
  • communication tools;
  • other educational and motivational functionality.

The Company may expand, modify, or discontinue Platform features at its discretion.

3. User Roles

The Platform supports different User roles, including:

Parent

A Parent may:

  • create and manage Accounts;
  • manage Child access;
  • monitor educational progress;
  • purchase Premium features where available.

Child

A Child may use the Platform only through access provided by:

  • a Parent;
  • a Teacher;
  • another authorized adult User where permitted.

Children may not independently create Accounts.

Teacher

Teachers are independent users of the Platform.

Teachers:

  • are not employees, agents, representatives, or partners of the Company;
  • independently provide educational services;
  • are solely responsible for compliance with applicable laws.

Additional obligations applicable to Teachers are described in the Teacher Agreement.

4. Registration and Account Security

Registration is available only to individuals who are at least 18 years of age or who are legally authorized to create Accounts on behalf of a Child.

By registering, Users represent that:

  • the information provided is accurate and current;
  • they will maintain the accuracy of their information;
  • they will keep login credentials confidential;
  • they will promptly notify the Company of any unauthorized access to their Account.

Parents are responsible for activities conducted through their Child's Account.

Teachers are responsible for obtaining any parental consents required by applicable law before creating or managing Child Accounts.

5. Account Management

Users may delete their Accounts at any time through available Platform functionality.

Following Account deletion:

  • access to the Platform will be terminated;
  • certain personal data may be retained where required by law or the Privacy Policy;
  • remaining information may be deleted or anonymized within a reasonable period.

The Company may suspend, restrict, or terminate access where reasonably necessary, including in cases involving:

  • violations of these Terms;
  • abuse of the Platform;
  • fraud or security concerns;
  • protection of the Platform or its Users;
  • compliance with legal obligations or governmental requests.

Where permitted by applicable law, such actions may be taken without prior notice.

6. Privacy and Personal Data

The Company processes personal data in accordance with applicable data protection laws, including the GDPR.

Use of the Platform is also governed by the following documents:

  • Privacy Policy;
  • Children's Privacy Policy;
  • Cookie and Similar Technologies Policy;
  • Parental Consent Policy.

These documents form an integral part of these Terms.

7. Communications

Users agree that the Company may send:

  • service notifications;
  • security notifications;
  • email communications;
  • push notifications;
  • in-Platform messages.

Users may opt out of marketing communications where such option is available.

Service, security, and legal notices may continue to be delivered where necessary.

8. Advertising and Promotional Content

The Platform may display informational, educational, promotional, and advertising content as described in the applicable Privacy Policy and related Platform documentation.

The Company does not display third-party personalized advertising to Children.

9. Acceptable Use

Users agree not to:

  • violate applicable laws;
  • interfere with the operation of the Platform;
  • obtain unauthorized access;
  • create fraudulent or fake Accounts;
  • impersonate another person;
  • share Accounts in violation of Platform rules;
  • distribute spam or unauthorized marketing;
  • upload malware or harmful software;
  • reverse engineer, decompile, or attempt to discover the Platform's source code;
  • scrape, copy, or automatically collect Platform data without authorization;
  • use bots or automated tools without permission;
  • circumvent technical or security measures implemented by the Platform;
  • infringe the intellectual property or other rights of the Company or third parties.

10. Teachers

Teachers operate independently.

The Company:

  • is not an educational institution;
  • does not supervise educational activities;
  • does not guarantee educational outcomes;
  • does not verify Teachers' qualifications unless expressly stated;
  • is not a party to agreements between Teachers and Parents.

Teachers remain solely responsible for their educational services.

11. Intellectual Property

The Platform, including its software, educational content, databases, user interface, trademarks, logos, graphics, text, and other intellectual property, is owned by the Company or its licensors and is protected by applicable intellectual property laws.

Except as expressly permitted, Users may not reproduce, distribute, modify, publicly display, or otherwise exploit any part of the Platform without prior written permission from the Company.

12. Platform Changes

The Company may, at its sole discretion:

  • modify Platform functionality;
  • introduce or discontinue features;
  • change Premium functionality;
  • update the user interface;
  • discontinue support for certain services;
  • temporarily suspend access for maintenance or security purposes.

The continued development of the Platform does not create an obligation to maintain any specific feature permanently.

13. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, the Company disclaims all warranties, whether express or implied, including warranties regarding:

  • uninterrupted availability;
  • error-free operation;
  • fitness for a particular purpose;
  • compatibility with all devices or software;
  • reliability, security, or availability at any specific time;
  • achievement of educational or commercial results.

14. Limitation of Liability

To the fullest extent permitted by applicable law, the Company shall not be liable for:

  • direct, indirect, incidental, special, or consequential damages;
  • loss of profits;
  • loss of business opportunities;
  • loss of data;
  • interruption of business;
  • actions of Teachers, Parents, or other Users;
  • failures of third-party services;
  • loss of access caused by the User.

The Company's total aggregate liability arising out of or relating to the Platform shall not exceed the total amount actually paid by the User for use of the Platform during the twelve (12) months preceding the event giving rise to the claim and, in any event, shall not exceed EUR 100 where permitted by applicable law.

15. Force Majeure

The Company shall not be liable for delays or failures resulting from circumstances beyond its reasonable control, including:

  • natural disasters;
  • internet outages;
  • cyberattacks;
  • actions of governmental authorities;
  • failures of third-party infrastructure;
  • labor disputes;
  • war;
  • force majeure events.

16. Dispute Resolution

Before initiating legal proceedings, Users agree to contact the Company in good faith to seek an amicable resolution of any dispute.

If a dispute cannot be resolved through negotiation, it shall be submitted to the competent courts of the Republic of Cyprus, unless otherwise required by applicable law.

17. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the following documents, constitute the entire agreement between the User and the Company regarding the Platform:

  • Privacy Policy;
  • Children's Privacy Policy;
  • Cookie and Similar Technologies Policy;
  • Parental Consent Policy;
  • Teacher Agreement;
  • Subscription Terms;
  • Pricing and Offer Terms;
  • Acceptable Use Policy.

These documents supersede all prior agreements, understandings, or representations relating to the use of the Platform.

19. Changes to these Terms

The Company may modify these Terms from time to time.

The latest version will always be published on the Platform together with its updated Effective Date.

Continued use of the Platform after such changes become effective constitutes acceptance of the revised Terms where permitted by applicable law.
